Terms of Services

1. Scope of Services

ATM Labs is a professional creative agency registered in Dubai, UAE. We provide digital product strategy, user experience (UX) research, user interface (UI) design, brand identity design, and frontend development services. The specific scope, deliverables, timelines, and fees for any client engagement will be detailed in a separate, mutually executed Service Agreement or Statement of Work (SOW).

2. Intellectual Property Rights

Unless otherwise agreed in writing in a specific SOW:

• Our Proprietary Property: All content, code, graphics, designs, logos, and materials on our website are the intellectual property of ATM Labs and are protected by UAE Federal Decree-Law No. 38 of 2021 on Copyrights and Neighboring Rights.
• Client Deliverables: Upon receipt of full and final payment, ownership of the final customized design deliverables (e.g., logos, UI layouts, custom assets) will be transferred to the Client. ATM Labs retains the right to showcase the completed work in our professional portfolio, marketing materials, and case studies.

3. Payment Terms and Fees

All fees for our services are quoted in United Arab Emirates Dirhams (AED) or US Dollars (USD), as specified in the project proposal.

• Our standard payment structure is a 50% upfront deposit, 25% upon design sign-off, and 25% upon final handoff or build completion.
• In accordance with UAE Federal Decree-Law No. 8 of 2017 on Value Added Tax (VAT), services rendered within the UAE are subject to a 5% VAT, which will be itemized on our tax invoices.
• Payments must be made within the timeframe specified on the invoice. We reserve the right to suspend work or withhold deliverables if payments are overdue.

4. Client Responsibilities and Approvals

To ensure successful project delivery, the Client agrees to provide timely feedback, assets, and necessary approvals. Delays in providing requested information or approvals may result in a corresponding extension of the project timeline. Once a design phase is signed off by the Client, subsequent changes to that phase may incur additional revision fees.

5. Confidentiality

Both parties agree to keep all non-public, proprietary business information, project briefs, and technical data shared during the engagement strictly confidential. This obligation survives the termination of our services.

6. Limitation of Liability

To the maximum extent permitted by UAE law, ATM Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising out of or in connection with our website, services, or these Terms. Our total liability for any claim shall not exceed the total fees paid by the Client to ATM Labs for the specific project in question.

7. Governing Law and Jurisdiction

These Terms, and any dispute or claim arising out of or in connection with them, shall be governed by and construed in accordance with the federal laws of the United Arab Emirates and the local laws of the Emirate of Dubai.

Any dispute arising from these Terms or our services shall be subject to the exclusive jurisdiction of the Courts of Dubai, United Arab Emirates (including, where applicable, the Dubai International Financial Centre (DIFC) Courts).

8. Modifications to Terms

We reserve the right to modify or update these Terms at any time without prior notice. Any changes will be posted on this page with an updated "Last updated" date. Your continued use of our website or services following any updates constitutes your acceptance of the revised Terms.
